Acknowledgment and Acceptance of Terms of Service

Truth Endeavors Inc (dba Embrace), an Oregon corporation provides services through App.GetEmbrace.co. By using the Site and/or Services, you agree to these Terms of Service. If you don't understand or agree, don't use the Site or register as a member.

By completing registration or using any part of the Service, you agree to be bound by all terms and conditions. Embrace may update these terms from time to time with notice where possible.

Overview

The Site allows individuals to create and maintain community campaigns for designated recipients. Services include tools to send email invitations, organize fundraising campaigns, share updates, post bills and expenses ("Bill Details"), accept monetary donations ("Donations"), and facilitate gift card purchases.

Eligibility

  • Must be 16 years or older to register (with parental consent if under 16)

  • Must be 18 years or older to access donations

  • Must have right, authority, and capacity to enter this agreement

Privacy Policy

Embrace's privacy policies are governed by the Embrace Privacy Policy at https://getembrace.co/privacy-policy.

License to Use and Access the Embrace Service

Embrace grants a limited license for personal use subject to these Terms. The Site may not be reproduced, modified, duplicated, copied, sold, or exploited for commercial purposes without express written consent. You cannot use the Site to create a competitive offering.

Use of the Site at Your Own Risk

Your access and use is at your own risk. Embrace has no responsibility for harm to your computer system, data loss, or other harm from accessing or using the Site or Services.

Registration, My Campaign Page and Inbox

Registration Requirements:

  • Valid email address (used as unique identifier)

  • Name and password

  • Required for organizing campaigns, creating web pages, sending invitations, fundraising, and uploading photos

User Responsibilities:

  • Maintain confidentiality of password and profile

  • Not transfer email address or password to third parties

  • Not lend or transfer access to third parties

  • Responsible for all activities under your profile

  • May change password/profile information anytime

  • Must notify of unauthorized use or security breaches

Embrace is not liable for loss or damage from your failure to comply with these obligations. 

You must provide and maintain accurate information. Embrace can terminate users who provide false or inaccurate information.

Description of the Embrace Service 

Services Include:

  • Campaigns: Community coordination programs for specifying expenses and fundraising needs 

  • Bills & Expense Details: Shows donors the impact of donations on designated expenses 

  • Transactions: Facilitation of payments through third-party platforms 

  • Administrative features

Campaign Coordinator Warranties:

  • All information provided is accurate, complete, and not misleading

  • All donations will be used solely for the named recipient as described

  • Will comply with Terms of Service and all applicable laws

Fees:

  • No upfront fees for Campaign coordinators

  • Monthly fees charged for your subscription to use the Embrace service.  

    • Fees are presented when you are invited to join a campaign.  There is no charge until you join a campaign.   

    • Your monthly subscription automatically renews on a monthly basis and you will be charged the relevant fees for such period.  

  • You may terminate your subscription at any time through the termination process set forth on the Site.  Flat fee retained from each registered Donor once per calendar year on first contribution 

  • Third-party processor (GoCardless.com) charges: $15.00 per chargeback, $15.00 per ACH return

  • By providing a payment method, you authorize Embrace to charge all fees, subscription charges, and any other amounts owed under these Terms to your credit card or other payment method on file.  This authorization remains in effect until you terminate your subscription.  You authorize Embrace to update your payment information and to continue charging your payment method for any amounts owed, including retrying failed transactions.

  • All fees and charges are non-refundable once incurred.  

Payouts:

  • Strive for prompt payouts but no guarantee of specific timeframe

  • User responsible for accurate bank account information

  • Not liable for claims, damages, or costs from issuing refunds

Financial Contributions:

  • May solicit voluntary contributions for operational costs

  • Embrace is not a 501(c)3 organization

  • Contributions are not tax deductible

Electronic Communications Consent

By using our Services, you consent to receive all communications from us electronically. We may provide all notices, disclosures, agreements, privacy policies, transaction confirmations, account statements, and other communications ("Communications") by email to the address you provide or by posting them on our Site. 

Hardware and Software Requirements:

To access electronic Communications, you must have: (a) a computer or mobile device with internet access, (b) a current web browser, (c) a valid email address, and (d) software to view PDF documents. 

Withdrawing Consent

You may withdraw your consent to receive electronic Communications by contacting us at the address listed in these Terms. However, withdrawing consent may result in termination of your access to our Services.

Paper Copies

You may request paper copies of any electronic Communication by contacting us within a reasonable time after we send the electronic version. 

Legal Effect

All Communications provided electronically have the same legal effect as if provided in paper form. Your consent applies to transactions affecting interstate commerce and is governed by the federal Electronic Signatures in Global and National Commerce Act.

Using the Services

Campaign Creation:

  • Must provide recipient's name and email

  • Coordinator must be registered user

  • Additional information (meal preferences, photos, updates) is optional

Invitations and Participation:

  • All participants must be invited by recipient, coordinator, or other participants

  • Embrace will not provide unique URL upon request

  • Invited users can view campaign, make donations, send gift cards without creating account

Participant Lists:

  • Email added to participant list when invited, booking dates, making donations, or registering

  • Non-registered users show truncated email addresses

  • Registered users show first and last names

Communication:

  • Participants can receive updates and direct messages

  • Can manage communication preferences via email links

  • Campaign administrators can view participant email addresses

Date Booking:

  • Must be registered user

  • Can select email reminder preferences

Donation Fund:

  • Optional feature requiring GoCardless.com account

  • Must accept GoCardless Services Agreement

  • Account verification required to collect funds

  • Embrace doesn't directly collect financial information

Emailing Participants:

  • Must be registered user to email other participants

  • General participants cannot view other participants' email addresses

Accessibility

Embrace is committed to making Site content accessible. Contact with "Disabled Access" in subject line if you encounter accessibility issues.

Service Mark and Content Restrictions

  • "Embrace" is a registered service mark of Embrace

  • Cannot use trade names/service marks in connection with other products/services

  • All other marks are trademarks of respective owners

Content Restrictions:

  • Cannot reproduce, redistribute, sell, modify, rent, lease, loan, adapt, translate, create derivative works, decompile, reverse engineer, or disassemble the Site or Service

  • Exception: Content you post to the Site, which you own

Content Posted by Users

User Responsibilities:

  • Solely responsible for all content posted (data, text, images, photos, videos, messages, files, links)

  • Responsible for accuracy, integrity, quality, and legal right to post content

License Grant: By posting content, you automatically grant Embrace a non-exclusive, worldwide, royalty-free, perpetual, non-revocable, freely transferable license to use, distribute, display, modify, publish, adapt, redistribute, sublicense and reproduce such content in connection with providing and marketing the Service. 

Embrace Rights:

  • Does not control content posted by users or third parties

  • Not liable for any content posted by users or third parties

  • Reserves right to evaluate content before posting

  • May monitor, alter, remove, or refuse to post content

  • May disclose content and communications

  • May contract third parties to operate portions of Service

  • May respond to legitimate governmental inquiries

Embrace will not be liable for loss or damage from reliance on content posted by users or third parties.

Required Notice Elements:

  • Identify infringing material with sufficient detail

  • Good faith belief statement that use is not authorized

  • Statement under penalty of perjury regarding accuracy and ownership/authorization

  • Contact information (address, phone, email)

  • Physical or electronic signature

Site Conduct

Prohibited Activities:

  • Posting libelous, defamatory, obscene, pornographic, threatening, abusive, or illegal content

  • Interfering with or disrupting Service operation

  • Engaging in inappropriate, unauthorized, or objectionable conduct

  • Using Service features for "spamming"

Required Agreements:

  • Must be at least 18 years of age

  • Permit access to Profile and records for monitoring

  • Comply with all applicable laws, regulations, and ordinances

  • Notify Embrace of Terms violations by other users

  • Have authorization from recipient to create campaigns on their behalf

Embrace will not be liable for loss or damage from user conduct or failure to obtain recipient permission. 

Contact immediately through Help form if personal information posted without permission.

Indemnification

You agree to indemnify, defend and hold harmless Embrace and its subsidiaries, suppliers, affiliates, officers, directors, employees, consultants, agents, successors and assigns from claims, liabilities, damages, costs, expenses or demands arising from:

  • Your use of Site and/or Service

  • Your violation of Terms of Service

  • Any intellectual property infringement by you or users of your Profile

  • Your violation of applicable law or regulation

Limitation of Liability

"AS-IS" Disclaimer: Site and Services provided "AS-IS" and "AS-AVAILABLE" basis. Embrace disclaims all warranties of MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, QUIET ENJOYMENT, or NON-INFRINGEMENT. No warranty that Site will meet requirements, result in successful campaign, or be uninterrupted, secure, or error-free. 

Liability Limitations:

  • Total liability limited to amount paid to Embrace, not exceeding $500

  • Sole remedy is refund equal to amount previously paid

  • Not liable for indirect, incidental, special, consequential or punitive damages

  • Not liable for loss of profits, data, use, goodwill, or other intangible losses

Dispute Resolution by Binding Arbitration

Most concerns can be resolved by emailing support@truthendeavors.com. If unable to resolve informally, disputes resolved through binding arbitration in Portland, Oregon in accordance with American Arbitration Association rules. Arbitration costs equally divided, but arbitrator may award costs and fees to prevailing party.

Controlling Law and Jurisdiction

Terms governed by laws of State of Oregon without regard to conflict of law provisions. Exclusive jurisdiction and venue in state and federal courts in Clackamas County, Oregon.

Termination

Embrace Rights:

  • May terminate password, profile, or Service use for any reason

  • May remove and discard any Content

  • Not liable for termination of access

  • May modify or discontinue Service at any time

  • May amend Terms of Service at sole discretion with immediate effect upon posting

Force Majeure

Embrace not liable for delays caused by Internet outages, insurrection, war, riot, explosion, nuclear incident, fire, flood, earthquake, volcanic activities, strikes, embargo, import/export restrictions, or other events beyond reasonable control.

Entire Agreement

These Terms of Service constitute the complete and exclusive agreement between you and Embrace regarding your use of the Site and Services and supersede all prior or contemporaneous agreements, understandings, negotiations, representations, warranties, and communications, whether written or oral, relating to the subject matter hereof. You acknowledge that you have not relied on any statement, representation, warranty, or agreement not expressly set forth in these Terms, and that any such reliance would be unreasonable. No modification of these Terms will be binding unless agreed to in writing and signed by an authorized representative of Embrace.

Severability

If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to accomplish the objectives of the original provision to the fullest extent possible under applicable law, and the remaining provisions shall remain in full force and effect. If any provision cannot be so modified, it shall be severed from these Terms, and the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired thereby.

Waiver

No waiver by Embrace of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Embrace. Embrace’s failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by Embrace in writing.

Assignment

You may not assign, transfer, delegate, or otherwise dispose of these Terms, whether voluntarily or involuntarily, by operation of law or otherwise, without Embrace’s prior written consent. Any purported assignment, transfer, or delegation by you shall be null and void. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and assigns. Embrace may freely assign, transfer, or delegate these Terms or its rights and obligations hereunder without restriction or prior notice to you.

Amendment

Embrace reserves the right to modify or amend these Terms at any time in its sole discretion by posting the revised Terms on the Site. Any such modifications shall be effective immediately upon posting unless otherwise specified. Your continued use of the Site or Services after the posting of revised Terms constitutes your binding acceptance of such changes. If you do not agree to any modifications, your sole remedy is to discontinue use of the Site and Services.

Headings

The section headings contained in these Terms are inserted for convenience only and shall not affect the meaning or interpretation of these Terms.

Survival

The provisions of these Terms that by their nature should survive termination shall survive any termination of your access to the Site or Services, including without limitation: Indemnification, Limitation of Liability, Dispute Resolution by Binding Arbitration, Controlling Law and Jurisdiction, and any other provisions that contemplate performance or observance subsequent to termination of these Terms.
